KENNETH R. CARGILL

Kenneth Cargill began his career as a Certified Public Accountant at Ernst & Whinney (now Ernst & Young). Since joining the firm in 1987, he has served the business and estate planning needs of institutional and individual clients in New Hampshire and Maine by combining his legal and accounting skills to their advantage.
ABOUT
Kenneth’s business practice includes entity selection and formation including guidance as to governance and control structures. His transactional experience includes negotiation and consummation of commercial transactions including business purchases, sales and commercial loans. He regularly represents developers of residential, commercial and mixed-use properties including pre-acquisition investigations, securing required governmental approvals, and preparation of development documentation. Kenneth also provides counsel to financial institutions in connection with commercial lending as well as loan renegotiation and asset recovery.

Kenneth provides ongoing estate planning counsel including assistance with resource management and document maintenance for the owners and principals of the firm’s commercial clients, as well as individuals and families that require ongoing management of estate resources and/or family dynamics. Estate planning services include long-term tax planning and the development of asset preservation strategies for closely-held businesses.

In addition to specific transactional matters, Kenneth provides general counsel to many nonprofits and business organizations. He presently maintains open general counsel files for more than 225 closely-held business entities located throughout central and northern New Hampshire and western Maine.

Represented management in the purchase of a 175 employee manufacturing facility from its parent holding company;
Lender representation in connection with a liquidating reorganization of a hotel/resort property;
Lender representation in connection with resort improvement and development financing of $12 million;
Lender representation in connection with $12 million hospitality property acquisition and improvement financing;
Title counsel for $16 million commercial property consisting of 19 interrelated parcels;
Purchaser representation in connection with $16 million acquisition and improvement of an integrated resort property;
Seller representation in connection with sale of a ski resort (value undisclosed);
Representation of purchasers, sellers and lenders for multiple hospitality properties with transaction values of $2 million to $10 million;
Developer’s counsel for a 110-unit combined residential and commercial development including registration under the Land Sales Full Disclosure Act;
Developer’s counsel for ongoing development and improvement of mixed residential and commercial properties with projected development in excess of
150 units including registration under the Condominium Act;
Counsel to approximately 15 owners’ associations including mixed residential and commercial properties with overall unit ownership of 2–180 units;
Lender’s counsel in connection with over 200 residential and commercial foreclosures and/or loan renegotiations;
Approved as counsel to Freddie Mac;
